# Portivo API Terms

Version 2026-10-28

These Terms are made in English and Polish. Both texts are binding (point 15.6).

In short: the API is free under this version; Keys belong to the Operator and must stay secret; Portivo announces changes in advance; liability is limited, but never for intent or gross negligence; Polish law applies. The numbered points below govern.

## 1. Definitions

1.1 "Portivo" means Portivo Inc., a corporation organised under the laws of the State of Delaware, Delaware file number 10768094, 131 Continental Dr, Suite 305, Newark, Delaware 19713, USA. Its representative in the European Union is Outofplace Poland spółka z ograniczoną odpowiedzialnością, ul. Żabia 4, 18-400 Łomża, Poland, KRS 0001163427, NIP 7182173789. The representative is not a party to these Terms.

1.2 "Operator" means the business that holds the Portivo account in which these Terms are accepted (the "Account"). "Owner" means a person with the owner role in the Account.

1.3 "API" means the Portivo programming interface at api.portivo.eu, in every version, including operations and data that Portivo adds later. "Documentation" means Portivo's technical description of the API, including rate limits and the changelog, which Owners and team members with the admin role read at dev.portivo.eu after signing in.

1.4 "Key" means a secret API credential created in the Account. "Scope" means a permission attached to a Key, such as reading the catalog.

1.5 "Integrator" means anyone who uses the API on the Operator's behalf, such as a web developer, an agency, a booking tool or a charter portal.

1.6 "Operator Data" means data that the Operator or its customers enter into the Account, or that the Account generates for the Operator, such as yachts, photos, prices, availability and bookings. "Personal Data" has the meaning given in Regulation (EU) 2016/679 (the "GDPR").

## 2. The agreement

2.1 These Terms are an agreement between Portivo and the Operator, not the person who clicks.

2.2 An Owner accepts these Terms in the Portivo panel when creating a Key, unless the Operator has already accepted the current version. The Owner thereby confirms that they may bind the Operator. Using a Key confirms these Terms for the Operator.

2.3 The API is a tool for running the Operator's charter business. Portivo offers it only to businesses, for use in that business. If mandatory law nevertheless gives an Operator who is a natural person the protection that consumers have, these Terms do not limit it.

2.4 Before acceptance, Portivo makes these Terms available free of charge and without signing in, in a form that can be downloaded, saved and printed. Every version stays published, unchanged, at https://operator.portivo.eu/api-terms.

2.5 Portivo records each acceptance: the Account, the person, the time, the version, the SHA-256 hash of this document in both languages, the IP address and the browser's User-Agent.

2.6 These Terms govern the API only and do not change the terms on which the Operator uses the rest of Portivo. A written agreement signed by both parties prevails where it expressly departs from these Terms. The terms of the operator.portivo.eu website do not apply to the API. Other documents the Operator accepts in Portivo, such as an authorisation to connect a booking system, are separate and follow their own rules. The Documentation cannot change these Terms.

## 3. Using the API

3.1 While these Terms apply, Portivo grants the Operator a free, non-exclusive, non-transferable licence to use the API and the Documentation in its business. The Operator may let its Integrators do so on its behalf and share the Documentation with them, but may not publish it.

3.2 A Key gives access only to what its Scopes and the Account's plan allow at the time of the request. If Portivo offers test Keys, they work on a separate test account, requests made with them create no obligations, and their data may be reset or deleted at any time.

3.3 An integration calls the API from a server over HTTPS, with the Key in the Authorization header, and ignores fields, values and event types it does not recognise.

3.4 Prices and availability show the state at the time of the request, and a response does not reserve a yacht. Portivo is not a party to contracts the Operator concludes using the API.

3.5 Portivo does not show prices to consumers through the API. The Operator makes sure that anyone who shows its prices and availability to consumers does so lawfully, including the rules on taxes in prices and on price reductions.

3.6 Portivo keeps all rights in the API, the Documentation and its trademarks.

## 4. Keys

4.1 A Key belongs to the Operator, not to the person who created it, and keeps working when that person leaves the team.

4.2 Only Owners create and renew Keys and issue new secrets, each time after an extra identity check (currently a passkey). Owners and team members with the admin role can revoke any Key.

4.3 Portivo shows a secret once and stores only a one-way hash and its last four characters. A lost secret cannot be recovered, and a new secret replaces the old one at once.

4.4 A secret is valid for up to 365 days. Revocation is final.

4.5 The Operator keeps Keys secret. In particular, it:

(a) uses a Key only on a server, never in website code, a mobile app or a public code repository;

(b) where possible, gives each Integrator its own Key, so that one can be cut off without stopping the others;

(c) passes a Key only to the Integrator it was created for, through a secure channel such as a password manager;

(d) revokes a Key or issues a new secret as soon as the Key may have leaked, and tells Portivo at contact@portivo.eu.

4.6 Portivo emails every Owner when a Key is created, renewed, given a new secret or revoked, when an Owner who issued a secret still in use loses owner access, and before a Key expires.

4.7 A request made with the Operator's Key is the Operator's own until the Key is revoked or expires, unless the Key leaked through Portivo's fault. The Operator answers for its Integrators as for itself and gives them the address of these Terms.

4.8 If Portivo lets the Operator authorise an Integrator's application in the panel, the authorisation works like a Key with the Scopes the Owner approves: the Operator may withdraw it at any time, and point 4.7 and sections 5 and 6 apply to it.

## 5. Acceptable use

5.1 Rate limits apply per Key and per Account. They are set out in the Documentation and in the RateLimit-Policy and RateLimit headers of API responses. Portivo may raise them at any time and lowers them only 30 days after notifying the Owners, unless it must act at once to stop abuse or protect the API. A request over a limit receives HTTP status 429; that alone is not a breach.

5.2 No one using the Operator's Keys may:

(a) get around a limit or a security measure, for example by spreading requests over several Keys or accounts;

(b) try to access another account's data, test Portivo's security without its prior permission, or disrupt the API (report vulnerabilities to contact@portivo.eu);

(c) collect by automated means, without their consent, data of other operators from the API, Portivo shops or the panel;

(d) sell or publish, as a dataset, other operators' data obtained through the API;

(e) send unlawful content, use the API unlawfully, or use it to spread spam or malware.

5.3 This section does not limit the Operator's use of its own Operator Data.

## 6. Data

6.1 Operator Data belongs to the Operator. Portivo uses it only to provide and protect its services to the Operator, including delivering it to whoever presents the Operator's Key, and never sells it.

6.2 The API returns no Personal Data of the Operator's customers or team members, except through Scopes opened under point 6.4.

6.3 No Key ever returns data that a third-party provider supplies about a person, such as identity documents, biometric checks or the provider's identifiers of that person; at most, whether the person is verified and until when.

6.4 Portivo opens Scopes with Personal Data of the Operator's customers only with a new version of these Terms that adds a data processing annex under Article 28 GDPR. For that data the Operator is the controller and Portivo its processor, acting only on the Operator's documented instructions; creating a Key and choosing its Scopes is such an instruction.

6.5 The Operator decides which Integrators receive data and is responsible for its agreements with them, including a legal basis for sharing Personal Data; Portivo is not a party to those agreements.

6.6 Portivo logs API requests to run, secure and support the API. An entry holds the time, Key, operation, result, error code, duration, the network part of the caller's IP address (the first 24 bits of IPv4 or 48 bits of IPv6), the User-Agent and the request body without personal data and secrets. Response bodies are not stored. Entries are deleted within 32 days.

6.7 Portivo is the controller of this log and of the acceptance records in point 2.5 and processes them in its legitimate interest (Article 6(1)(f) GDPR). It keeps the acceptance records while these Terms apply and then until claims under them are time-barred. The Portivo privacy policy gives the details; questions go to privacy@portivo.eu.

6.8 Portivo protects Keys and Operator Data with appropriate technical and organisational measures and tells the Owners without undue delay of a security incident affecting them.

## 7. Changes to the API

7.1 Portivo may add to the API at any time, such as operations, fields, optional parameters, values of existing fields, error codes and event types.

7.2 A change that can break a working integration comes only in a new major version, such as /v2. Portivo announces it to the Owners by email and keeps the previous version working for at least 12 months after the announcement. It publishes the end date in the Documentation and marks the previous version's responses with Deprecation and Sunset headers.

7.3 Portivo changes or removes part of the API sooner only where the law or an authority requires it, to fix a security vulnerability, or where a third-party service the feature depends on ends, with as much notice as it reasonably can and with the reason.

7.4 Features marked beta in the Documentation may change or end at any time and are not covered by point 7.2.

7.5 Portivo may stop offering the API to all operators with at least 12 months' notice to the Owners, or sooner in the cases in point 7.3.

## 8. Availability and suspension

8.1 Portivo runs the API with professional care but does not promise that it will be uninterrupted or error-free. Portivo publishes the current state of its services and their history at https://operator.portivo.eu/status. No service level applies unless a written agreement under point 2.6 sets one.

8.2 Portivo may revoke a Key, switch off a Scope or suspend the Operator's API access only:

(a) to deal with a Key that may have leaked or another security risk;

(b) where the API is used in breach of section 5 in a way that harms or threatens Portivo, other operators or third parties;

(c) where the law or an authority requires it.

8.3 Portivo uses the narrowest effective measure, such as a single Key, and emails the Owners the facts and the reason no later than when the measure takes effect, unless the law forbids it. It restores access without undue delay once the reason ends or proves unfounded. The Operator may contest the measure under point 14.3. Portivo does not restore a revoked Key; an Owner can create a new one.

8.4 While the Account is suspended or closed, Keys do not work. Portivo suspends the Account only at the Operator's request, on a ground in point 8.2 or on a ground stated in another agreement between Portivo and the Operator, and point 8.3 applies to every suspension by Portivo. Keys that have not expired or been revoked work again once the Account is active. Suspending API access alone does not affect the Operator's panel or shop.

## 9. Fees

9.1 Portivo charges no fee for the API under this version, in any Portivo plan. Portivo may introduce a fee only for the future, by a new version of these Terms under section 13.

9.2 Using the API does not by itself create a commission or any other fee. Portivo's commission arises only from online payments processed through Portivo's payment gateway, as stated in Portivo's price list.

## 10. Confidentiality, feedback and trademarks

10.1 Each party keeps confidential the non-public information it receives from the other under these Terms, such as Key secrets, the Documentation and unpublished Operator Data, and uses it only for these Terms. The Operator may share the Documentation with its Integrators. The duty lasts 3 years after these Terms end, for trade secrets as long as they stay secret, and does not cover information that is public through no fault of the recipient, already lawfully known to it, or required by law to be disclosed.

10.2 Feedback about the API is voluntary, and Portivo may use it freely without payment. Operator Data is never feedback.

10.3 Neither party uses the other's name or trademarks in marketing without consent, except that the Operator and its Integrators may state truthfully that they use the Portivo API.

## 11. Liability

11.1 Each party's total liability under these Terms for all events in a calendar year is limited to the greater of PLN 50,000 and the fees the Operator paid Portivo in the 12 months before the first of those events. Lost profits are recoverable within this limit.

11.2 The limit does not apply to damage caused intentionally or through gross negligence, to personal injury, or to liability that the law does not allow to be limited.

11.3 Portivo is not liable for the websites and systems of Integrators, or for what holders of the Operator's Keys do with the data, unless Portivo caused the damage.

## 12. Term and termination

12.1 These Terms apply for an indefinite period from acceptance.

12.2 The Operator may terminate these Terms at any time, with immediate effect and at no cost, by email to contact@portivo.eu. Revoking all Keys in the panel stops API access at once. If the Operator later creates a Key, these Terms apply again.

12.3 Portivo may terminate these Terms only:

(a) with 30 days' notice, if the Operator materially breaches them and does not remedy the breach within 15 days of a warning sent by email;

(b) with immediate effect, if the Operator materially breaches them again within 12 months of a warning under (a), or the law or an authority requires it;

(c) with at least 6 months' notice, for a valid reason stated in the notice: a change in the law or a decision of an authority, Portivo ending the API for all operators or in the Operator's country, or no request made with the Operator's Keys in the preceding 12 months.

Portivo gives its reasons by email, with the facts and the provisions it relies on.

12.4 These Terms also end when Portivo closes the Account at the Operator's request, or on a ground and with the notice in point 12.3 or in another agreement between Portivo and the Operator, and in the case in point 7.5. When these Terms end, all Keys stop working.

12.5 Ending these Terms does not delete Operator Data or limit the Operator's rights to it. During the term, and for at least 30 days after an Owner asks to close the Account or Portivo notifies the Owners that it will close the Account, Portivo provides Operator Data free of charge in a structured, commonly used, machine-readable format, through the exports in the panel or, for anything they do not cover, on request to contact@portivo.eu. Portivo deletes Operator Data only after that period, unless the Operator asks for earlier deletion or the law requires otherwise. Where Chapter VI of Regulation (EU) 2023/2854 (Data Act) applies, the Operator also has the switching rights it gives, free of switching charges.

12.6 Points 4.7, 6.6 to 6.8 and 12.5 and sections 10, 11 and 15 survive the end of these Terms.

## 13. Changes to these Terms

13.1 Portivo changes these Terms only for a valid reason: a change in the law or a decision of an authority, a security need, preventing abuse, a new or changed feature of the API, a change in Portivo's services or costs, or correcting errors and unclear wording. Each change is a new version.

13.2 Portivo emails the new version to every Owner at least 30 days before it takes effect, with a summary of the changes and a reminder that the Operator may terminate, and publishes it as in point 2.4. A shorter period applies only where the law requires it, or where a change is needed at once against an unforeseen, imminent threat such as fraud, malware, spam or a data breach. A change that only adds rights for the Operator may apply at once.

13.3 A change never applies to the past.

13.4 The Operator may terminate under point 12.2 before a change takes effect. Otherwise the new version applies from its effective date, also to existing Keys, and creating a Key after that date requires accepting it.

## 14. Contact and complaints

14.1 Portivo sends notices to the email addresses of the Owners in the Account, which the Operator keeps current.

14.2 The Operator writes about the API, including for support, to contact@portivo.eu, and about personal data to privacy@portivo.eu.

14.3 Complaints about the API, including about a measure under point 8.2, go to contact@portivo.eu; the Account name and a description of the issue are enough. Portivo answers by email within 14 days.

## 15. Law, courts and final provisions

15.1 These Terms are governed by Polish law. Disputes go to the Polish common court competent for the Operator's registered office or principal place of business in Poland or, for an Operator with neither in Poland, to the common court competent for the Śródmieście district of Warsaw.

15.2 Each party complies with the sanctions and export control laws that apply to it. Portivo may suspend or end API access without notice where such a law requires it, and gives the reasons unless that law forbids it.

15.3 Neither party is liable for a failure caused by events beyond its reasonable control.

15.4 The Operator may transfer these Terms only together with its business or with Portivo's consent. Portivo may transfer them to a company that takes over its services, after notifying the Owners at least 30 days in advance; the Operator may terminate under point 12.2 before the transfer. Where point 2.3 applies, the transfer needs the Operator's consent.

15.5 If a provision is invalid, the rest stays in force and the parties apply a valid provision closest to its purpose. Not exercising a right does not waive it. Subject to point 2.6, these Terms are the whole agreement on the API.

15.6 These Terms are made in English and Polish with the same numbering, and both texts are binding. Portivo wrote both and is responsible for their matching. If they differ, the meaning more favourable to the Operator applies.

# Warunki API Portivo

Wersja 2026-10-28

## 1. Definicje

1.1 "Portivo" to Portivo Inc., spółka utworzona według prawa stanu Delaware, numer w rejestrze stanu Delaware 10768094, 131 Continental Dr, Suite 305, Newark, Delaware 19713, USA.

"Właściciel" to osoba z rolą właściciela w Koncie.

1.4 "Klucz" to tajne poświadczenie do API utworzone w Koncie. "Zakres" to uprawnienie przypisane do Klucza, na przykład do odczytu katalogu.

1.5 "Integrator" to każdy, kto korzysta z API w imieniu Operatora, na przykład twórca strony internetowej, agencja, narzędzie rezerwacyjne albo portal czarterowy.

2.4 Przed akceptacją Portivo udostępnia Warunki bezpłatnie i bez logowania, w postaci, którą można pobrać, zapisać i wydrukować.

3.6 Portivo zachowuje wszystkie prawa do API, Dokumentacji i swoich znaków towarowych.

## 4. Klucze

(a) używa Klucza wyłącznie na serwerze, nigdy w kodzie strony internetowej, w aplikacji mobilnej ani w publicznym repozytorium kodu;

(b) w miarę możliwości daje każdemu Integratorowi osobny Klucz, żeby móc odciąć jednego bez zatrzymywania pozostałych;

(c) przekazuje Klucz tylko Integratorowi, dla którego powstał, bezpiecznym kanałem, na przykład menedżerem haseł;

## 5. Zasady korzystania

(a) obchodzić limitu ani zabezpieczenia, na przykład rozkładając zapytania na kilka Kluczy albo kont;

(b) próbować dostać się do danych innego konta, testować zabezpieczeń Portivo bez jego uprzedniej zgody ani zakłócać działania API (podatności zgłasza się na adres contact@portivo.eu);

(c) automatycznie zbierać bez ich zgody danych innych operatorów z API, sklepów Portivo ani panelu;

(d) sprzedawać ani publikować jako zbioru danych innych operatorów uzyskanych przez API;

## 6. Dane

6.1 Dane Operatora należą do Operatora.

6.6 Portivo prowadzi dziennik zapytań do API, żeby je utrzymywać, chronić i wspierać. Wpis zawiera czas, Klucz, operację, wynik, kod błędu, czas trwania, część sieciową adresu IP wołającego (pierwsze 24 bity adresu IPv4 albo 48 bitów adresu IPv6), User-Agent oraz treść zapytania bez danych osobowych i sekretów.

6 ust. 1 lit. f RODO). Zapisy akceptacji przechowuje przez czas obowiązywania Warunków, a potem do przedawnienia roszczeń z nich. Szczegóły podaje polityka prywatności Portivo, a pytania przyjmuje adres privacy@portivo.eu.

6.8 Portivo chroni Klucze i Dane Operatora odpowiednimi środkami technicznymi i organizacyjnymi i bez zbędnej zwłoki zawiadamia Właścicieli o incydencie bezpieczeństwa, który ich dotyczy.

## 7. Zmiany API

Portivo podaje datę jej końca w Dokumentacji i oznacza odpowiedzi poprzedniej wersji nagłówkami Deprecation i Sunset.

## 8. Dostępność i zawieszenie

(a) żeby zaradzić możliwemu wyciekowi Klucza albo innemu zagrożeniu bezpieczeństwa;

(b) gdy API jest używane wbrew sekcji 5 w sposób, który szkodzi albo zagraża Portivo, innym operatorom lub osobom trzecim;

## 10. Poufność, uwagi i znaki towarowe

## 12. Czas trwania i zakończenie

Jeśli Operator później utworzy Klucz, Warunki znowu go obowiązują.

12.3 Portivo może wypowiedzieć Warunki wyłącznie:

(a) z 30-dniowym wyprzedzeniem, gdy Operator istotnie je narusza i nie usunie naruszenia w ciągu 15 dni od ostrzeżenia wysłanego e-mailem;

(b) ze skutkiem natychmiastowym, gdy Operator ponownie istotnie je narusza w ciągu 12 miesięcy od ostrzeżenia z lit. a albo gdy wymaga tego prawo lub organ władzy;

## 13. Zmiany Warunków

13.1 Portivo zmienia Warunki wyłącznie z ważnej przyczyny: zmiany prawa albo decyzji organu władzy, potrzeby bezpieczeństwa, zapobiegania nadużyciom, nowej albo zmienionej funkcji API, zmiany usług albo kosztów Portivo lub poprawy błędów i niejasnych sformułowań. Każda zmiana to nowa wersja.

## 14. Kontakt i reklamacje

## 15. Prawo, sądy i postanowienia końcowe
